Terms and Conditions

1. About these terms. These terms govern use of the [agricm.com] website and the AgriCM marketplace operated by [company legal name], registered in England and Wales ([company no.]), whose principal place of business is [address]. “We” means that company; “you” means any user or member; “Member” means a registered user with a verified business profile for trade purposes.

2. Eligible users. You must be a business professional, acting in a trade capacity on behalf of a legitimate business, and be of legal age to contract. Accounts are personal to a single business; one business entity should not maintain multiple accounts. 3. Accounts and verification. You agree to give accurate, current information in your business profile. Verification by us is a condition precedent to trading, confirmation only case-by-case, and does not constitute a warranty of a member’s performance. You must keep credentials confidential and tell us immediately of any unauthorised account access. 4. Listings and content you provide. Listings and other content you publish must describe real, currently available products, and must not breach the law of the seller’s or buyer’s jurisdiction, third-party rights, or our moderation standards. We may decline, reject or close any listing or account at our discretion for breaches, illegality, or integrity concerns, and may remove content without notice. 5. Enquiries, quotations and deals. Enquiries are invitations to negotiate. Quotations are sent privately to the buyer, are non-binding expressions of willingness to trade, and are governed by the quotation’s own terms and validity period. A Deal record is created when a buyer accepts a quotation subject to agreed terms; it is a record of the parties’ mutual intent. The contract for any transaction is between buyer and seller directly. AgriCM is not a party to that contract, does not transfer title, does not perform any delivery, and does not handle or take payments in this Phase. 6. Country trade policy. Trade with any origin, destination or member country requires a current decision by us permitting that country. We may block, limit or reverse country access and we log our decisions internally. The country gate is an operational control and is not sanctions screening; each member remains responsible for its own trade-compliance obligations. 7. Fees. Registration, enquiries, quotations and Deal records are currently free. We may introduce paid features or membership plans in future with at least [30 days’] notice; no fee applies to activity already performed. 8. Intellectual property. We own the site, brand and software. You retain ownership of your content but grant us a worldwide, non-exclusive licence to host and display it in the marketplace, including an excerpt for previews and search. 9. Additional disclaimers/liability. The site is provided “as is”. We do not warrant the accuracy of any member’s listing or quotation. To the fullest extent allowed by law, we exclude liability for indirect or consequential loss (including lost profit), and our aggregate liability arising from the site or service is limited to £[100 / the greater of fees paid in the prior 12 months and £100]. Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded. 10. Termination. You may close your account at any time. We may suspend or terminate accounts for breach of these terms, misuse of platform records, or activity that endangers the integrity of the marketplace. 11. Changes. We can amend these terms prospectively; material changes will be notified by email or on the site at least 14 days before taking effect. Continued use after that date constitutes acceptance. 12. Governing law. These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales (unaffected by your consumer or mandatory local rights where applicable). 13. Contact. Terms@agricm.com
