Welcome to Agri CM Marketplace (“AgriCM”, “we”, “our”, or “us”).
These Terms of Service (“Terms”) govern your access to and use of the AgriCM Marketplace website, platform, and related services provided by AGRICM MARKET PLACE.

By registering an account, subscribing, or otherwise using AgriCM, you agree to these Terms.

AgriCM Market Place is a subscription-based Software as a Service (SaaS) platform designed to connect agricultural buyers and suppliers or and related industries worldwide.

We provide tools for:

1. Posting and browsing buy/sell offers
2. Communicating through secure in-platform chat
3. Managing company profiles and verification (KYC/KYB)
4. Receiving notifications and analytics about market activity

AgriCM does not act as a broker, intermediary, payment processor, or guarantor.
All commercial negotiations and transactions between users occur outside of the platform and at own risk and recommend each party to research the potential client/customer/supplier/buyer and whom-ever they aim to conduct a business transaction with..

3. Eligibility

To use AgriCM, you must:

1. Be at least 18 years old
2. Register as a legitimate business representative or authorised individual
3. Provide accurate and truthful information during registration
4. Comply with applicable laws and regulations in your country of operation

We may refuse, suspend, or terminate any account that violates these Terms or our verification requirements.

4. Account Registration and Verification

Users must register for an AgriCM account and provide valid company and contact information.

To maintain trust and safety, AgriCM may require KYC (Know Your Customer) or KYB (Know Your Business) verification.

You are responsible for:

1. Keeping your login credentials secure
2. Ensuring your company details remain accurate and up-to-date
3. Not sharing account access with unauthorised parties

AgriCM reserves the right to suspend or delete accounts that fail verification or engage in suspicious activity.

5. Subscription and Payments

5.1 Plans and Billing

AgriCM offers subscription plans for sellers/exporters (e.g., £20/month or £200/year) and a free trial and if offered where applicable.

All payments are securely processed by Stripe or other approved payment providers.

5.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled before renewal.

5.3 Cancellation

You may cancel your subscription anytime via your account settings.

Upon cancellation, access to paid features continues until the end of the current billing period.

5.4 Refund Policy

As AgriCM provides digital SaaS access, payments are non-refundable, except where required by law or explicitly stated otherwise.

6. Prohibited Activities

You agree not to use AgriCM for any unlawful, misleading, or harmful purpose, including but not limited to:

1. Posting fraudulent or deceptive offers
2. Soliciting payments through the platform
3. Sharing false or unverified company data
4. Spamming or harassing other users
5. Uploading malicious software or links
6. Violating any local or international trade laws

Any violation may result in immediate account suspension without refund.

7. Platform Communication

AgriCM provides internal messaging tools for verified users.

You agree not to use this communication channel for spam, advertising unrelated products, or illegal negotiations.

AgriCM is not responsible for content exchanged between users, including messages, files, or business proposals.

8. Disclaimer of Liability

AgriCM is a technology service provider, not a trading intermediary.

We do not verify, guarantee, or endorse any offers, prices, quantities, or transactions between users.

Users are solely responsible for conducting their own due diligence and verifying all trade details independently.

AgriCM shall not be held liable for:

1. Financial loss, fraud, or non-performance between users
2. Damages resulting from reliance on user content
3. Indirect, incidental, or consequential damages

9. Data Protection

We handle personal data in accordance with our Privacy Policy.

By using the platform, you consent to our processing of data under UK GDPR and related laws.

10. Intellectual Property

All content, software, design, and trademarks on AgriCM are the property of AGRICM MARKET PLACE.

You may not copy, modify, or distribute platform materials without written permission.

You retain ownership of content you upload but grant AgriCM permission to display it within the platform or as and who needed as and when needed even after or if the account is closed/suspended/terminated by yourself or AgriCM.

11. Termination

We may suspend or terminate your account if:

1. You violate these Terms
2. You misuse the platform or engage in fraudulent behaviour
3. We are required to do so by law or regulation

Upon termination, your right to access the service ceases immediately.
We may retain limited data for compliance purposes as described in our Privacy Policy.

12. Changes to the Service

AgriCM may modify or discontinue any feature at any time to improve performance, security, or compliance.

We will notify users of significant changes when feasible.

13. Limitation of Liability

To the fullest extent permitted by law, AgriCM and its directors, officers, and affiliates are not liable for any indirect, incidental, or consequential damages arising from:

1. Use or inability to use the platform
2. Transactions or disputes between users
3. Unauthorised access or alteration of your data

Our total liability shall not exceed the amount you paid for the last 1 month of your subscription.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

Any disputes shall be resolved in the courts of London, United Kingdom.
